# How to Read an Off-the-Plan Contract (Without a Law Degree)

An off-the-plan contract pack brings together the documents that explain your purchase, from the apartment and its inclusions to payment terms and important dates. This guide explains the main sections simply, so you can read the pack with more confidence and know which questions to ask.

**What's in the pack**

| **The contract of sale** | The agreement setting out the price, deposit, property details and settlement terms. |
| --- | --- |
| **The vendor statement (Section 32)** | The seller’s required disclosures about the property, including title information, planning details, services and applicable owners corporation information. The seller must provide a signed statement before you sign the contract. |
| **The plan of subdivision** | The drawings showing the proposed lot boundaries and common property. Read it with your contract to check how your apartment, car space and storage are identified and included. |
| **The schedule of finishes** | The specified benchtops, appliances, flooring and tapware. Read it alongside the plans and contract, including any terms about substitutions, so you understand what is included. |

Read these documents together because each explains a different part of the purchase. The seller must provide a signed Section 32 statement before you sign the contract.

**General conditions and special conditions**

General conditions cover the usual mechanics of the sale, such as payments, notices and settlement. Special conditions set out project-specific terms and may amend or override those general conditions.

For example, special conditions may explain permitted changes to plans or finishes and what triggers settlement. Check whether an agreed finance condition is included and which deadlines apply. A conveyancer or solicitor can explain how these terms apply to you.

**Confirm your apartment and inclusions**

Match your chosen apartment and any included car park or storage space to the particulars of sale and the plans. Your floor plan shows the layout, while the subdivision plan identifies the lot boundaries and common property.

**Understand the deposit clause**

This clause records the deposit amount, payment dates and nominated trust account. Victorian off-the-plan deposits cannot exceed 10% of the purchase price, although a lower amount may be negotiated.

At Norus, the usual process is $1,000 at signing, followed by the balance of the 10% deposit within three business days. Check the agreed payment dates in your contract. There are no further payments towards the purchase price until settlement and the deposit is held in a lawyer's trust account, not with the developer.

**Check shared ownership and ongoing costs**

An owners corporation manages common property, arranges required insurance and collects fees for shared expenses. Review the proposed rules for matters such as parking, noise and use of shared spaces.

Fees for a new development may initially be estimates. Ask for the latest available figures and what they cover, then include council and water rates in your budget too.

**Understand the sunset clause**

A sunset clause sets a deadline for a specified milestone, such as registering the subdivision plan or obtaining an occupancy permit. It is different from an estimated construction completion date. Check the milestone, deadline and what the clause says happens if it is missed.

**Know how cooling-off works**

For eligible private residential sales in Victoria, cooling-off is three clear business days after both parties sign.

To exercise this right, give signed written notice to the seller or the seller’s agent within the required period. The refund is subject to a deduction of $100 or 0.2% of the purchase price, whichever is greater.

Exceptions apply, including purchases at or within three clear business days before or after a public auction and purchases by a company. Check your eligibility and deadline.

**Check what triggers settlement**

Your contract explains how the settlement date is determined. For an off-the-plan purchase, it may be linked to notices confirming subdivision registration and the issue of an occupancy permit.

Check the notice period, how to arrange a pre-settlement inspection and any adjustments for rates, owners corporation fees and applicable service connection charges.

**When to involve a conveyancer**

Independent legal advice is recommended before signing, while you can ask questions and discuss the terms. A licensed conveyancer or solicitor can review the contract pack, explain your rights and help with settlement.

The [Norus Projects](https://www.norus.com.au/) team can clarify project details, floor plans and inclusions.
